Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Autowired ("Company," "we," "us," or "our") governing your access to and use of the Autowired platform, including our website, applications, APIs, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.

Description of Service

Autowired provides an AI-powered document extraction platform that enables users to:

• Upload and process documents (PDFs, images, and other supported formats)
• Create visual extraction templates to define data extraction rules
• Extract structured data from documents using artificial intelligence
• Integrate with third-party services for document ingestion (email, cloud storage)
• Export extracted data in various formats (JSON, CSV, XML)
• Access the Service via our web application and APIs

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

You must be at least 16 years of age to create an account. By creating an account, you represent that you are at least 16 years old.

Subscription and Payment

Subscription Plans

The Service is offered through subscription plans that provide a monthly allocation of processing tokens. Your subscription plan determines the number of documents you can process and access to features.

Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All payments are processed securely through Stripe
• Prices are exclusive of applicable taxes, which will be added at checkout
• You authorize us to charge your payment method for all fees incurred

Token Usage

Document processing consumes tokens from your monthly allocation. Tokens are deducted when documents are successfully processed. Unused tokens do not roll over to the following billing period unless specified in your plan.

Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. We do not provide prorated refunds for partial billing periods. For annual subscriptions, refund requests are evaluated on a case-by-case basis.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload documents containing illegal content or content that violates third-party rights
• Use the Service to process documents you do not have the right to process
• Attempt to circumvent any security features or access controls
• Use the Service to develop a competing product or service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems or software to extract data from the Service beyond our APIs
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Share your account credentials or allow unauthorized access to your account
• Upload documents containing malware, viruses, or malicious code
• Use the Service in any manner that could damage, disable, or impair the Service

Your Content

Ownership

You retain all ownership rights to the documents you upload and the data extracted from them ("Your Content"). Autowired does not claim any ownership rights to Your Content.

License

By uploading documents to the Service, you grant Autowired a limited, non-exclusive license to process, store, and transmit Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.

Responsibility

You are solely responsible for Your Content and ensuring you have all necessary rights and permissions to upload and process it. You represent that Your Content does not violate any applicable law or infringe any third-party rights.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Autowired and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used in connection with any product or service without our prior written consent.

Third-Party Integrations

The Service may integrate with third-party services (e.g., Gmail, cloud storage providers). Your use of these integrations is subject to the terms and privacy policies of those third-party services.

We are not responsible for the content, privacy practices, or availability of third-party services. You authorize us to access these services on your behalf when you enable an integration.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice when possible.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the extraction results will be 100% accurate or error-free. AI-powered extraction is dependent on document quality and format, and results should be verified for critical applications.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOWIRED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Autowired and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in London, United Kingdom, for resolution of any disputes arising from these Terms or the Service.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
